She works with many types of businesses, particularly those in the health care and life sciences industries. Prior to joining the firm, Miranda practiced for four years at a Tucson, Arizona based commercial law firm, practicing in the areas of business transactions and health care law.
Experience
Providing transactional corporate representation to various businesses, including entity formation, business planning, mergers and acquisitions, leasing and licensing and other commercial law matters;
Preparing and negotiating a variety of contracts, including asset purchase agreements, management contracts, professional service contracts, employment agreements, licenses, research and consulting agreements, and other business agreements;
Evaluating relationships between health care providers for compliance with federal and state health care laws, including the Stark Law, the Anti-Kickback Statute, the False Claims Act, and HIPAA/HITECH;
Representing health care providers in their responses to investigations by professional licensing boards;
Representing buyers, sellers, investors, and business owners in a wide variety of real estate transactions including drafting and negotiating real estate purchase agreements and long term leases;
